Amotai Corporate Events Terms and Conditions

Thank you for registering to participate in an Amotai Corporate Event. Please take the time to read and understand the following Corporate Event Terms and Conditions.

1. Compliance

a. By registering for a Corporate Corporate Event, the Registrant agrees, and will ensure its Delegates agree, to be bound by these Corporate Events Terms and Conditions and the Amotai Member and Supplier Code of Conduct, as amended by Amotai from time to time.

b. Amotai reserves the right, at any time and at their sole discretion, to refuse registration or entry to a Corporate Event or to remove any person, Registrant or Delegate from a Corporate Event due to inappropriate behaviour and/or non-compliance with these Corporate Event Terms and Conditions or the Amotai Member and Supplier Code of Conduct.

2. Registration

a. The Registrant for the Corporate Event warrants it:

i. is currently a Registered Buyer, Registered Supplier or Recognised Stakeholder of Amotai;

ii. holds all required permits, approvals, licenses and permissions legally required for your participation and association with the Corporate Event; and

b. Without limiting any other right or remedy Amotai may have, any breach of the warranties in clause 2(a) above by the Registrant may result in the cancellation of your registration and any Amotai affiliation.

c. Registration for a Registered Buyer will be confirmed once full payment has been received by Amotai from the Registrant. Registration for a Registered Supplier will be confirmed once the ticket confirmation has been received by Amotai from the Registrant.

d. Acceptance of the registration to participate in the Corporate Event remains at all times at the discretion of Amotai. Should the Registrants registration not be accepted, Amotai will fully reimburse any paid registration fee.

e. Registrations received after the closing date (which is notified on the Website) may incur a late fee of $100.00.

f. On acceptance of the registration, Amotai will issue a tax invoice as confirmation of the registration. If you do not receive this invoice within 5 days of payment of the registration fee, please contact Amotai directly.

3. Cancellation and substitutions

a. In the event of a cancellation by you, and subject to clause 3(b) below, the following applicable cancellation fee may apply:

i. Cancellation at least 2 weeks prior to the Corporate Event closing date – $100 administration fee; or

ii. Cancellation notified within 2 weeks of the Corporate Event closing date but prior to the registration closing date – 50% of the total registration fee (including GST); or

iii. Cancellation notified after the registration closing date – 100% of the total registration fee (including GST).

b. All cancellations must be made in writing to Amotai.

c. Amotai reserves the right to make changes to the program at any time. Should Amotai postpone the Corporate Event due to unforeseen circumstances, Registrants will not be entitled to a refund and such fees paid will be applied to the rescheduled Corporate Event unless otherwise agreed in writing with the Registrant.

4. Permissions

a. Subject to and as further set out in Amotai’s Privacy Policy, Amotai collects and stores information, including personal information, provided by you for the purpose of providing its services, such as Corporate Events, developing and providing programs, and promoting its products and services. You acknowledge and consent to the collection, storage, use and disclosure of such information provided to Amotai registering and/or participating in this Corporate Event.

b. The Registrant understands and grants permission to Amotai and/or its representatives and agents, to record video/photographs/images or any other form of media of the Registrant and/or its Delegates attending Corporate Event.

c. The Registrant acknowledges and agrees, and will ensure its Delegates acknowledge and agree, that:

i. Amotai will own all right, title and interest (including copyright) in the all video/photographs/images or any other media recorded by Amotai and/or its representatives and agents at or as part of the Corporate Event (collectively the “Material”);

ii. Amotai and/or its representatives and agents may use the Material in any media, worldwide and in perpetuity for any promotional, news, online/multimedia, research, educational or any other purpose as determined by and on behalf of Amotai;

iii. Amotai and/or its representative and agents may use the Registrant and its Delegates names and likeness, voice, biographical or other information in connection with the Material.

d. The Registrant and its Delegates agree they are not entitled to remuneration, residuals, royalties or any other payment from Amotai in respect of the recording and use of the Material. Further, the Registrant and its Delegates release, discharge and hold harmless Amotai, its representative and/or its agents from any and all claims, demands, causes of actions and any liability whatsoever in relation to use of any Material containing the Registrant or its Delegates.

e. If the Registrant and/or any of its Delegates do not wish Material recorded of them to be released, the Registrant must notify Amota in writing at kiaora@amotai.nz. Amotai will use its best endeavours not to use Material recorded of the Registrant or its delegates if such a written request is received.

f. The Registrant provides permission to Amotai that the Registrants details (including company name and contact details) may be incorporated into an exhibitors list for the benefit of all Corporate Event attendees. Details may also be made available to third parties directly related to the Corporate Event. If you do not wish for your details to be released for the aforementioned purposes you must contact Amotai in writing at kiaora@amotai.nz.

5. Equipment and property

a. Amotai will not be responsible for any personal property that is left unattended on the premises of the Corporate Event by the Registrant or any of its Delegates.

b. The Registrant is required to ensure that all facility equipment and property provided by or at the premises of the Corporate Event are undamaged. Any damage must be reported immediately to Amotai. The Registrant may be charged accordingly for the repair or replacement of any equipment and/or property that is damaged.

6. Special requirements

a. Amotai will not cater for any special dietary or physical requirements unless requested in writing a minimum of 2 days before the registration closing date. Any request with your requirements must be stated in the allocated text box, while registering via the Platform. Amotai will use its reasonable endeavours to fulfill the requirements requested, however, provides no guarantee the request can be fulfilled.

7. Confidentiality and privacy

a. The Registrant agrees, and will ensure its Delegates agree, not to disclose any Amotai Confidential Information and to comply with Amotai’s Privacy Policy.

8. Liability

a. Amotai accepts no liability or responsibility to any third party in connection with our Corporate Events or services. The Registrant agrees to reimburse Amotai for any liability (including reasonable legal costs) Amotai incurs in connection with any claim by a third party arising from the Registrant’s breach of these Corporate Event Terms and Conditions.

b. Amotai will not in any Corporate Event be liable to the Registrant for any indirect, economic, incidental, special or consequential loss including, without limitation, loss of profits or use or goodwill or anticipated savings or revenue or contracts, whether or not Amotai has been advised of the possibility of such loss.

c. Subject to clauses 8(a) and 8(b), to the extent permitted by law, Amotai’s liability to the Registrant for any loss or damage will be limited to recovery of direct damages not exceeding the registration fees for the Corporate Event paid by the Registrant to Amotai.

d. Amotai’s liability for any loss or damage sustained by the Registrant will be reduced proportionately to the extent that such loss or damage has been caused by the Registrants or its Delegates failure to comply with its obligations and responsibilities under these Corporate Event Terms and Conditions and/or to the extent that the negligence or other wrongful act or omission of the Registrant or its Delegates has contributed to such loss or damage, regardless of whether a claim is made by the Registrant for breach of contract or for negligence or under an indemnity.

9. Entire agreement

a. These Corporate Event Terms and Conditions constitute the entire agreement, understanding and arrangement (express and implied) between the Registrant and Amotai relating to its subject matter and supersedes and cancels any previous agreement, understanding and arrangement relating thereto whether written or oral.

10. Severability

a. If any provision of these Corporate Event Terms and Conditions is held by a court of law to be invalid or unenforceable under any applicable statute or rule of law, such provision shall cease to apply or to bind the parties but the remainder of these Corporate Event Terms and Conditions will continue to be binding and in full force and effect.

11. Governing law

a. The laws in force in New Zealand apply to these Corporate Event Terms and Conditions and the parties agree to irrevocably submit to the exclusive jurisdiction of courts of New Zealand.

12. Definitions

In these terms and conditions, unless the contrary intention appears:

  • Amotai or ‘we’ or ‘our’ means, as the context requires, Auckland Council.
  • Confidential Information means information that is by its nature confidential or by the circumstances in which it is disclosed is confidential including but not limited to any information, trade secrets, technical data or know how relating to the research or development, products, services, inventions, manufacturing processes, production techniques, purchasing, accounting, marketing, merchandising and sales of Amotai.
  • Corporate Event means the Corporate Event organised and promoted by Amotai that the Registrant wishes to register for participation in including, but not limited to, a Connect conference, tradeshows, gala awards dinner and other Corporate Events that may be scheduled from time to time.
  • Delegate(s) means the employees, agents, and/or representatives that attend the Corporate Corporate Event on behalf of the Registrant.
  • Platform means the Amotai platform with the URL of www.platform.amotai.nz
  • Recognised stakeholder means a recognised affiliate or friend of Amotai, but not a Registered Buyer or Registered Supplier.
  • Registered Buyer means an organisation or entity that is a current approved member of Amotai, who contracts with the Registered Supplier either directly or indirectly. This applies to situations where a business is sub-contracted to a main contractor.
  • Registered Supplier means a current approved Māori and/or Pasifika business of Amotai, meeting registration criteria.
  • Registrant or ‘you’ or ‘your’ means the organisation or other entity registering or registered to participate in the Corporate Corporate Event.
  • Website means the Amotai retail website with the URL address of www.Amotai.nzand may where the context provides also include the Amotai platform with the URL address of www.platform.amotai.nz
